Terms for PaidAttention.ai

Operator

These Terms are between you and Sequester AG, Zug, Switzerland, doing business as PaidAttention.ai. References to "PaidAttention.ai", "we", "us", or "our" mean Sequester AG and the PaidAttention.ai service.

Service

PaidAttention.ai shows clearly labeled sponsored placements beside AI workflows. Users may earn a share of recognized revenue from valid ad impressions. Advertisers can submit campaigns, bids, and budgets for review.

Eligibility And Accounts

• You must be at least 18 years old to use PaidAttention.ai.
• Login is currently Google-only. You are responsible for keeping your Google account secure.
• You must provide accurate account, country, tax, payout, and KYC information when requested.
• The macOS app is currently supported only on macOS 13 Ventura or later on Apple silicon.

Data Authorization

By using the service, you authorize PaidAttention.ai to process account data, device and network signals, AI workflow context, Codex or other AI interaction history, ad interactions, and payout or KYC status as described in our Privacy Policy. We use this data for ad matching, user profiling for relevance, impression validation, analytics, security, abuse prevention, payout accounting, and compliance.

User Earnings

The current founding-user launch share is 69% of recognized revenue from valid impressions attributed to eligible users. PaidAttention.ai receives the remaining 31%. We may restrict access to this launch promotion, close it, or offer different shares to future users.

Users admitted under the 69% launch promotion keep that share for the lifetime of their account while the account remains eligible and in good standing. Dashboard amounts are estimates only. Earnings do not become final, vested, payable, or owned by you until we approve them for payout after review.

Payouts are estimates until finalized. We may require KYC, tax forms, payout thresholds, country eligibility checks, and fraud review before paying. You are responsible for any taxes related to your earnings.

Payout Review And Abuse Protection

We may delay, hold, reduce, reverse, offset, cancel, or deny any payout or estimated earning if we determine, in our sole reasonable discretion, that activity may be invalid, abusive, fraudulent, artificial, non-human, incentivized in an undisclosed way, self-dealing, duplicated, manipulated, generated by multiple accounts, generated through VPNs, proxies, emulators, automation, farms, compromised devices, misleading KYC information, sanctions restrictions, policy violations, unpaid advertiser spend, refunded advertiser spend, chargebacks, technical errors, or other conduct that creates risk for PaidAttention.ai, users, advertisers, payment partners, or the integrity of the market.

We do not need to prove fraud, intent, or abuse to a criminal, civil, or third-party evidentiary standard before pausing, withholding, or denying a payout. We may act on risk signals, internal models, advertiser reports, payment-provider feedback, device or account patterns, KYC mismatches, unusual conversion rates, traffic quality, or other information available to us. We may request additional information from you, and failure to provide it may result in forfeiture of the affected estimated earnings.

No payout is owed for invalid impressions, invalid clicks, duplicate activity, bot traffic, manipulated usage, unpaid or refunded advertiser spend, policy violations, or any activity we determine is not eligible. We may recover overpayments by offsetting future earnings or requesting repayment.

Acceptable Use

• Do not create multiple accounts to earn more than your fair share.
• Do not automate, spoof, hide, tamper with, or manipulate ad impressions, clicks, app heartbeats, device signals, geography, or KYC checks.
• Do not use the service for unlawful, deceptive, infringing, harmful, or abusive activity.
• Do not attempt to reverse engineer, disrupt, overload, or bypass the service or app protections.

Advertiser Terms

Advertisers are responsible for the accuracy and legality of their campaigns, landing pages, creative, bids, budgets, claims, and targeting choices. We may approve, reject, pause, remove, or modify campaign delivery to protect users, comply with law, prevent abuse, or preserve product quality.

Advertisers pay only for billable events recognized by the service, such as visible impressions under the applicable campaign rules. We do not guarantee impressions, clicks, conversions, revenue, or campaign performance.

Software

The macOS app is licensed, not sold. We may update the app, require updates for continued access, change supported systems, or disable versions that are insecure, outdated, or incompatible.

Beta And Availability

PaidAttention.ai is an early product. Features, dashboards, campaign tools, payout timing, supported regions, and app behavior may change. The service may be interrupted or unavailable.

Intellectual Property

PaidAttention.ai, its software, branding, and product design belong to us or our licensors. You retain rights to your own content, but grant us the rights needed to process it to provide, secure, measure, improve, and enforce the service.

Termination

We may suspend, limit, or terminate access, disable the macOS app, remove campaigns, freeze dashboard balances, or close an account if you violate these Terms, create risk for users, advertisers, payout integrity, or the service, or if required by law. Termination does not limit our right to withhold, reverse, or deny payouts connected to suspicious or ineligible activity. You may stop using the service at any time.

Disclaimers And Liability

The service is provided as is and as available. To the maximum extent allowed by law, we disclaim implied warranties and are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or lost goodwill.

To the maximum extent allowed by law, our total liability for any claim related to the service is limited to the greater of CHF 100 or the amount of fees you paid to us, excluding advertiser spend passed through to users, in the 12 months before the claim arose.

Individual Claims Only

To the maximum extent permitted by law, you and Sequester AG agree that disputes must be brought only on an individual basis. You waive any right to bring, join, or participate in any class action, collective action, representative action, mass action, private attorney general action, or similar grouped proceeding against Sequester AG or PaidAttention.ai. Where a waiver is not enforceable, that grouped claim must be severed from any individual claim to the fullest extent permitted by law.

Where a jury-trial waiver is relevant, you and Sequester AG waive any right to a jury trial to the maximum extent permitted by law.

Governing Law And Jurisdiction

These Terms are governed by the substantive laws of Switzerland, excluding conflict-of-law rules, except where mandatory law requires otherwise. Subject to mandatory statutory forums, the exclusive place of jurisdiction for disputes arising out of or relating to these Terms, PaidAttention.ai, user payouts, advertiser campaigns, or the macOS app is Zug, Switzerland.

Changes And Contact
